Battery X Metals Inc., a Canada-based energy transition and battery technology company, has announced a strategic engagement with a prominent U.S. investment bank to explore an uplisting to a major U.S. national securities exchange, with Nasdaq as the preferred destination.
The agreement, outlined in a letter signed by both parties, designates the New York-headquartered bank as Battery X Metals’ exclusive financial advisor. The engagement includes strategic capital markets guidance, non-deal investor roadshows, and advice on structuring and financing, with the goal of enhancing the company’s visibility and access to U.S. investors.
CEO Massimo Bellini Bressi stated, “This engagement with the U.S. Investment Bank marks an important step as we advance Battery X Metals toward a national U.S. exchange listing. We are confident their deep capital markets expertise will accelerate our growth trajectory.”
Next-Gen Battery Innovations Fuel U.S. Growth Plans
The partnership aligns with Battery X Metals’ broader U.S.-focused growth initiatives, particularly the commercialization of its patent-pending electric vehicle battery rebalancing machine. Developed under its subsidiary, Battery X Rebalancing Technologies Inc., this platform has shown promise in real-world trials, including a dramatic 637% increase in range for a degraded EV truck, restoring its post-rebalance range to 295 kilometers.
Deployment of the rebalancing tech is being planned for U.S. automotive service centers and dealerships, contingent upon final validation and commercial agreements.
A 360° Battery Ecosystem Strategy
Battery X is also expanding across other key verticals:
- Battery Recycling: Through Battery X Recycling Technologies, the company is pursuing sustainable lithium-ion battery recycling solutions. Its recent research collaboration with a top-20 global university focused on froth flotation technology to recover materials like lithium, cobalt, nickel, and graphite. A new agreement is under consideration to continue the partnership.
- AI-Driven Mineral Exploration: Under Battery X Discoveries Inc., and in partnership with TerraDX and MineMind Metals, the company is deploying proprietary AI models to explore battery metals across Nevada. The collaboration, supported by TerraDX’s membership in the NVIDIA Inception program, aims to shorten discovery timelines and enhance subsurface targeting.
Strategic Terms and Listing Roadmap
Battery X will issue 577,915 common shares to the U.S. Investment Bank over four monthly installments. The firm will also receive a 7% commission and broker warrants on any capital raised through its services. If a reverse merger or acquisition listing is pursued, a 3.5% success fee will apply. All terms are subject to Nasdaq or other exchange approval, and regulatory compliance including listing criteria such as market cap, public float, and bid price thresholds.
